Leadership Logistics LLC - Driver Agreement

Effective Date: February 7, 2026

1. Acceptance of Terms

By accessing or using the Leadership Logistics LLC driver management platform and services (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a binding legal agreement between you and Leadership Logistics LLC ("Company," "we," "our," or "us").

2. Employment Relationship

These Terms govern your use of the Platform and do not create, modify, or supersede your employment agreement with the Company. As a driver for Leadership Logistics LLC, you acknowledge that:

  • You are an employee or contractor of Leadership Logistics LLC
  • Your employment is subject to a separate employment agreement and applicable policies
  • You must comply with all Company policies, procedures, and safety standards
  • Your employment status is at-will unless otherwise specified in writing

3. Platform Access and Use

Account Security:

  • You are responsible for maintaining the confidentiality of your login credentials
  • You must not share your account access with any other person
  • You must notify us immediately of any unauthorized access or security breach
  • You are responsible for all activities that occur under your account

Acceptable Use:

  • Use the Platform only for legitimate business purposes related to your employment
  • Do not attempt to access unauthorized areas or data
  • Do not interfere with or disrupt the Platform's operation
  • Do not use the Platform to transmit unlawful, harassing, or inappropriate content
  • Do not reverse engineer, modify, or create derivative works of the Platform

4. Driver Responsibilities

As a driver using this Platform, you agree to:

  • Timely Check-In: Review your daily assignments and respond to schedule changes promptly
  • Vehicle Inspections: Complete daily pre-trip and post-trip vehicle inspections accurately and submit required photos
  • Route Compliance: Follow assigned routes and delivery instructions provided by Amazon and the Company
  • Safety Standards: Comply with all traffic laws, safety regulations, and Company safety policies
  • Communication: Respond to messages and notifications from management in a timely manner
  • Reporting: Report accidents, incidents, vehicle damage, or safety concerns immediately
  • Time-Off Requests: Submit time-off requests according to Company policy
  • Accurate Records: Ensure all data entered into the Platform is accurate and truthful

5. Company Rights and Monitoring

The Company reserves the right to:

  • Monitor your use of the Platform for compliance, safety, and quality assurance purposes
  • Access and review all data, communications, and content submitted through the Platform
  • Track your location during work hours when using Company devices or vehicles
  • Record and store vehicle inspection photos and other operational data
  • Modify, suspend, or terminate your access to the Platform at any time
  • Update, modify, or discontinue Platform features without prior notice

6. Performance and Conduct

You acknowledge that the Company may:

  • Track and evaluate your performance metrics, including delivery success rates, customer satisfaction, and safety scores
  • Issue write-ups, warnings, or disciplinary actions through the Platform for policy violations or poor performance
  • Require you to acknowledge receipt and understanding of write-ups and corrective actions
  • Use performance data for scheduling, assignment decisions, and employment evaluations
  • Share relevant performance and safety data with Amazon and other delivery partners as required

7. Vehicle Use and Maintenance

When operating Company vehicles, you agree to:

  • Perform daily inspections and report any vehicle damage or mechanical issues immediately
  • Operate vehicles safely and in compliance with all traffic laws
  • Maintain vehicle cleanliness and proper care
  • Use fuel cards and Company resources only for authorized purposes
  • Report accidents or incidents immediately, regardless of fault or severity
  • Accept financial responsibility for damages caused by negligence or policy violations

8. Data and Privacy

Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and sharing of your data as described in the Privacy Policy. You acknowledge that operational data, performance metrics, and communications may be retained and used for business, legal, and regulatory purposes.

9. Intellectual Property

All content, features, and functionality of the Platform, including but not limited to software, text, graphics, logos, and data structures, are owned by Leadership Logistics LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or exploit any portion of the Platform without express written permission.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADERSHIP LOGISTICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Leadership Logistics LLC, its affiliates, officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Platform, violation of these Terms, violation of any law or regulation, or infringement of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your access to the Platform immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms, termination of employment, or inappropriate conduct. Upon termination, your right to use the Platform will immediately cease. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Platform shall be resolved through:

  • Informal Resolution: Good faith negotiation between the parties
  • Binding Arbitration: If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association
  • Class Action Waiver: You waive any right to participate in a class action lawsuit or class-wide arbitration

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date." Your continued use of the Platform after such changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and your employment agreement, constitute the entire agreement between you and Leadership Logistics LLC regarding the Platform and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter herein.
